Below are the terms of our three beat licenses: Standard, Premium, and Exclusive. By purchasing a track and accepting terms at checkout, you agree to the terms listed below. Standard License Contract This License agreement is a legally binding contract made and entered into on (date of purchase) (“Effective Date”) by and between (buyer’s name) (“Licensee”) and (For Real Beats) (“Licensor”). Licensor warrants that it controls the mechanical rights in and to the musical work, (beat name) (“Composition”), being sold to Licensee as of and prior to the Effective Date. The Licensee and Licensor have agreed to the following terms: 1. Master Use. The Licensor hereby grants to Licensee a non-exclusive License to record vocal and/or instrumental synchronization to the Composition partly or in its entirety and substantially in its original form (“Master Recording”). 2. Mechanical Rights. The Licensor hereby grants to Licensee a non-exclusive License to use Master Recording for one (1) year from Effective Date in the reproduction, duplication, manufacture, and distribution of recording media, both online and offline, including but not limited to CDs, DVDs/VHS, internet downloadable content, other miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, ”Recordings”) worldwide for the pressing or selling of unlimited copies of such Recordings or any combination of such Recordings within the term of one (1) year that License is valid. Additionally, Licensor shall be permitted to distribute unlimited internet downloads for non-profit and non-commercial use. 3. Performance Rights. The Licensor hereby grants to Licensee a non-exclusive License to use the Master Recording in unlimited non-profit performances, shows, or concerts for one (1) year term. 4. Synchronization Rights. The Licensor hereby grants to Licensee a non-exclusive License to copy, perform, edit, loop, and/or record on film, television, video, digital animations, video games, commercials, and other media (collectively, “Projects”) and use the Master Recording in synchronization or timed relation with the productions in unlimited Projects for one (1) year term. 5. Broadcast Rights. The Licensor hereby grants to Licensee a non-exclusive License to broadcast or air the Master Recording on unlimited radio stations or station channels for one (1) year term. 6. Credit. Licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats by acknowledging the relevant author and producer (For Real Beats) in writing where possible and vocally otherwise. When giving credit as stated, Licensor shall be acknowledged as a writer and/or producer. Although not limited to these wordings, the following are examples of appropriate and acceptable forms of giving credit: “Prod. For Real Beats,” “Beat written by For Real Beats,” or “Beat by For Real Beats at www.ForRealBeats.com”. 7. Sampling. The Licensee agrees that the clearing of any sampled materials in the Composition is the responsibility of Licensee. 8. Compensation. Payment for this License is non-refundable. The Licensee is responsible for making a payment in the sum of $20 in exchange for this non-exclusive License. Licensor warrants that it has the right to create coupon codes on behalf of ForRealBeats.com that may reduce the price of this License. Licensor will accept up to one (1) valid coupon code offered by Licensor to be used for the purchase of Composition at applicable time provided Licensee enters the code before purchase of Composition and before expiration of coupon code. If the Licensee fails to complete the payment provided for hereunder, the Licensor shall have the right to terminate this License upon written notice to the Licensee. Such termination shall render the recording, manufacture, and/or distribution of Recordings for which payment has not been met subject to and actionable as infringements under applicable law. Minors must have permission and supervision by a parent or guardian in order to purchase License. 9. Term. Executed by the Licensor and the Licensee, this License agreement is to be effective as for all purposes as of the Effective Date and shall expire one (1) year from the Effective Date. In the event that an exclusive license for Composition is sold by Licensor, the terms of this agreement shall be upheld. 10. Indemnification. Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder. 11. Miscellaneous. This License is non-transferable and is limited to the Composition specified, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both Licensor and Licensee and their respective successors, assigns, and legal representatives. 12. Governing Law. This License is governed by and shall be construed under the laws of the United States of America without regard to the conflicts of laws and principles thereof. These laws shall apply to any and all countries that fall within the jurisdiction of at least one of the following agreements or treaties: BAC, Berne, Bilateral, Phonograms, SAT, UCC Geneva, UCC Paris, WCT, WPPT, and WTO. By accepting the terms and conditions upon purchase of License, Licensee agrees to the terms and conditions listed above. Composition’s untagged .mp3 file will be made available for download for Licensee after purchase of relevant License, granting non-exclusive rights to Licensee. Composition purchased: (Composition) Premium License Contract This License agreement is a legally binding contract made and entered into on (date of purchase) (“Effective Date”) by and between (buyer’s name) (“Licensee”) and (For Real Beats) (“Licensor”). Licensor warrants that it controls the mechanical rights in and to the musical work, (beat name) (“Composition”), being sold to Licensee as of and prior to the Effective Date. The Licensee and Licensor have agreed to the following terms: 1. Master Use. The Licensor hereby grants to Licensee a non-exclusive License to record vocal and/or instrumental synchronization to the Composition partly or in its entirety and substantially in its original form (“Master Recording”). 2. Composition purchased: (Composition) Exclusive License Contract This License agreement is a legally binding contract made and entered into on (date of purchase) (“Effective Date”) by and between (buyer’s name) (“Licensee”) and (For Real Beats) (“Licensor”). Licensor warrants that it controls the mechanical rights in and to the musical work (beat name) (“Composition”) being sold to Licensee as of and prior to the Effective Date. The Licensee and Licensor agree to the following terms: 1. Master Use. The Licensor hereby grants to Licensee an exclusive License to record vocal and/or instrumental synchronization to the Composition partly or in its entirety and substantially in its original form (“Master Recording”). While the Licensor maintains mechanical rights to Composition, the Licensor guarantees that the Composition and relevant licenses will not be sold to any third parties after the Effective Date. 2. Mechanical Rights. The Licensor hereby grants to Licensee an exclusive License to use the Master Recording in the reproduction, duplication, manufacture, and distribution of all recording media, both online and offline, including but not limited to CDs, DVDs/VHS, internet downloadable content, other miscellaneous audio and digital recordings, and any lifts and versions thereof (collectively, ”Recordings”) worldwide for the pressing or selling of unlimited copies of such Recordings or any combination of such Recordings. Additionally, Licensor shall be permitted to distribute unlimited internet downloads for non-profit and/or non-commercial use. 3. Performance Rights. The Licensor hereby grants to Licensee an exclusive License to use the Master Recording in unlimited performances, shows, or concerts. 4. Synchronization Rights. The Licensor hereby grants to Licensee an exclusive License to copy, perform, edit, loop, and/or record on film, video, digital animations, video games, commercials, and other media (collectively, “Projects”) and use the Master Recording in synchronization with the productions in unlimited Projects. 5. Broadcast Rights. The Licensor hereby grants to Licensee an exclusive License to broadcast Master Recording on an unlimited number of radio stations or station channels. 6. Credit. Licensee must acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats by acknowledging the relevant author and producer (For Real Beats) in writing where possible and vocally otherwise. When giving credit as stated, Licensor shall be acknowledged as a writer and/or producer. Although not limited to these wordings, the following are examples of appropriate and acceptable forms of giving credit: “Prod. Licensor will accept up to one (1) valid coupon code offered by Licensor to be used for the purchase of Composition at applicable time provided Licensee enters the code before purchase of Composition and before expiration of coupon code. If the Licensee fails to complete the payment provided for hereunder, the Licensor shall have the right to terminate this License upon written notice to the Licensee. Such termination shall render the recording, manufacture, and/or distribution of Recordings for which payment has not been met subject to and actionable as infringements under applicable law. Minors must have permission and a signature by a parent or guardian in order to purchase License. 9. Term. Executed by the Licensor and the Licensee, this License agreement is to be effective as for all purposes as of the Effective Date and shall not expire. 10. Indemnification. Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties, or agreements hereunder. 11. This License is non-transferable and is limited to the Composition specified, constitutes the entire agreement between the Licensor and the Licensee relating to the Composition, and shall be binding upon both Licensor and Licensee and their respective successors, assigns, and legal representatives. 12. By accepting the terms and conditions upon purchase of License, Licensee agrees to receive contract via email and automatically agrees to the terms and conditions listed above. A link to Composition’s relevant trackouts will be sent to Licensee via email address provided by Licensee within 48 hours of purchase. Composition purchased: (Composition)
